Zeepla® General Terms & Conditions (T&C) of Services and Relationship with Community Platform Participants

Definitions

  1. Zeepla® is a trading name and brand of SAINCHROMA® Ltd registered in England and Wales, Registration no 12419219.
  2. “Private Participants or Participants” refers to one or more individuals who registered with Zeepla® as individuals or collectively to sell, buy, donate or exchange items on the Platform in each or collective accounts not as a business.
  3. “Buyer” a third party registered or not registered that has made or intend to make a purchase of an item or good places for offered for sale on  Zeepla® Community Platform
  4. Commercial or Professional Participants” refers to one or more individuals or an legal entity that participates in the Platform to sell, buy, donate or exchange items not in their personal accounts but as a business
  5. Donors” refers to Private Participants or Commercial or Professional participants who use the facilities of the Platform to offer items or goods for free to other Participants under the terms and condition of Zeepla® for such offer and not expecting anything in return from the taker or receiver of the offer or donation
  6. Donate” to give away an item or goods without expecting any compensation or payment in return for the item or goods
  7. Exchange” refers to the swap of an item or more for another agreed item or more between the different participants under the prior agreed terms as set out in this document
  8. Exchanger” refers to the Platform participant that swaps with another participant an item or goods on the Platform for another agreed item or goods
  9. Zeepla® Registered Participant, ZRP” also referred to as Participants or Platform User, which include the Private Participants, Commercial or Professional Participants, Donors and Exchange Participants registered to participate in the activities of the Community Platform
  10. Zeepla® “Community Platform Participants” refers to sellers, vendors, exchangers, donors and receivers as the case may be in individual transactions and operations
  11. Sale Item or goods” refers to items or goods offered for sale to buyers on Zeepla® Community Platform either by Private Seller or Commercial or Professional Sellers
  12. Exchange Items or goods” refers to items or goods offered for exchange with other items or goods on Zeepla® Community Platform by any other Exchange Participants with another interested Participant

1. Our Commitment to you

1.1 Zeepla® commits to provide Participants or users with the best user experience possible

1.2 Zeepla® commit to the promotion of all four activities (selling, buying or purchasing, donation and / or exchange} that helps to extend the beneficial life of products

1.3 Zeepla® is a General Audience Open Market Platform and exclude the participation or registration of children or young teenagers under the age of 18 (eighteen) years or legal adult as relevant to the operational jurisdiction of Zeepla®

1.4 Zeepla® commit to uphold the highest environmental standards in all its business operations

2. Providing your information

To participate, users of  Zeepla®  Community Platform in any form or format or group, we require you to be a “Zeepla Registered Participant” or a “ZRP”. For management reasons, only one membership registration is allowed at any one time in all the different categories.

3. How we use the information you provide as a Participant or Zeepla® Registered Participant (ZRP)

3.1 Zeepla® is acutely aware of the value and need to respect every registered participant’s privacy and data. We have developed and continue to improve our privacy policy, which we actively encourage you to consult on this website.

3.2 You will learn how we collect, use or share your information. We will only collect, use or share strictly needed information for the normal functioning, running and improvement of Zeepla® engagements with our Participants.  Your consent will also be sought whenever needed and appropriate to do so.

3.3 We also use cookies to collect, monitor or track traffic on Zeepla® website to help improve our services and also to further protect our Participants. You can see our Cookie Policy on this website.

4. Registration as Zeepla® Registered Participant (ZRP) or SIMPLY as a Participant: what will you provide?

4.1 Your full name or that of your organisation if you are registering as an organisation

4.2 Your email address

4.3 Your UK or relevant country address

4.4 Consent to store and / or use your detail, which will be given by accepting or rejecting the prompt during login to our Community Platform store or shop name

5. Seeking Consent

5.1 Zeepla® is a technology driven organisation. Consent to collect, retain, use, share or display certain personal or business information will be presumed in most cases when Participants complete and submit the electronic registration

5.2 If Participants connect or link to Zeepla® services via third party website, Zeepla® will presume consent has been given as soon as the connection or link is completed

5.3 Consent to use certain utilities such cookies will be demanded and option provided to accept, reject or withdraw consent.

5.4 See, read and understand our Cookie and privacy policies on this website

6. Protection of Children

6.1 Zeepla® takes the protection of children very seriously

6.2 Children or young teenagers are not allowed to register and / or participate on any aspect of Zeepla®’s activities without due parental or legal adult guidance and approval

6.3 Children and young teenager are prohibited from providing their personal data on Zeepla®’s websites or through third party websites

6.4 Any such data knowing or unknowingly provided or collected will be deleted from the website as soon as possible and in any case with minimum delay and without any further or prior consent from the provider

6.5 Zeepla®  Participants must be 18 years or over to be registered directly on the Zeepla Community Platform or be any legal age considered as adult in the jurisdictions where Zeepla® carries out its operations.

7. Opening an account with Zeepla

7.1  To use, join, participate or become a Zeepla® Registered Participant (ZRP), participants (Sellers, Donors, Exchangers and Buyer) must register on Zeepla® website and obtain login details. Registration on Zeepla® website  is simple.

7.2  Individuals or Groups can register as Private Participants

7.3  Registrants who must 18 years and over can register to become a ZRP and participate in the activities of the Community or attain the legal age to be adult in the jurisdiction

7.4  Commercial or professional Participants must provide the business name and address, email address, telephone number and a contact person and the relevant details

7.5  Registration requires the provision of the following information: full name, date of birth, address and email address

7.6  Personal information will not be displayed on Zeepla® website unless otherwise stated or requested by the registrant

7.7  For the protection of Zeepla® Community Participants (Sellers, Donors, Exchangers and Buyers) a second layer registration and login verification system may be used, where Participant use codes sent to them via telephone texts or email to complete the process

7.8  Consistent or persistent misrepresentation of information about the participant, the entity, items, goods or personal detail, will constitute serious breach with the appropriate sanctions in accordance with these terms and conditions.

8. The Zeepla® is Open Marketplace Technology Platform or General Audience Website

8.1  Zeepla® is an interactive, Sustainable Social Community Open Market Technology Platform

8.2  All Zeepla® services are online based

8.3  Consistent with Zeepla®’s clean and sustainable environmental ambition and commitment, we encourage all of our Participants on the Platform to prioritise paperless, online communication with us.

9. Paying for an item or goods

 Participant Sellers

9.1  Zeepla® is a Sustainable Social Community Open Market that provide an efficient Technology Platform to share, recycle and extended the life of gadgets and devices, phones, iphones, ipads, computers, home and away-from-home communication and entertainment equipment and  accessories  that we have loved in the past and can be loved by a new owner who buys it from Zeepla platform

9.2  Seller advertise or publicise by placing of photographs and detail and accurate descriptions of the items or goods referred to as the “Sales Item or Items” to the Community on Zeepla® Platform as well as other platform visitors

9.3  For this service, Participant Sellers pay a participation fee in the form of a Commission on the price of the “Sale Item or Items”

9.4  The Commission is a flat fee of 7% of the Sale Item or goods price per item 

9.5  Zeepla® will deducted the Commission from the total Sale price

9.6  Zeepla® will apply Tax to the deducted Commission as appropriate at the prevailing value added tax (VAT) rate at the time (i.e. Commission + VAT)

9.7  All payment transactions including Commission deduction will be done through a third-party banking partner’s facility and website (e.g. PayPal, Stripe) provided through Zeepla® connected account. By consenting to these Terms and Conditions, Participating Seller agree for  Zeepla® to share your detail with our banking partner or partners as the case maybe 

9.8  Zeepla® also provides the option to use other Third-part payment systems (including Paypal), which may require a separate registration by Participant Sellers and Buyers

9.9 PayPal offers payment protection for both buyers and sellers

9.10  Zeepla® is not responsible for any information provided to any third-party payment system even where systems have been recommended or proposed by Zeepla®

9.11  Participants must investigate and decide on which payment option is best suited for each activity they are involved in on the Platform or with each Community participant.

9.12  All transactions and agreements must be conducted through Zeepla® Community Technology Platform (ZCTP) to ensure discipline, traceability of records and transparency by all parties in the transactions

9.13  Payment protection: PayPal offers payment protection for both buyers and sellers on Zeepla® Community platform

Donors

9.14  Zeepla® allows Donors and Receiver to registered and interact within the Community Platform for free

9.15  There will be Zero Commission on all donated items

9.16  Where postage cost is involved on any item or goods offered on Zeepla® Community Platform, the receiver will pay the postage fee unless the donor accepted in advance to also to pay for the postage of the donated items or goods

9.17  Payment of the postage fee will be through the selected third-party payment facility website (PayPal)

9.18  Delivery or shipping of such items or goods remain the responsibility of the donor or as agreed between the donor and donee (receiver)

9.19  All transactions and agreements must be conducted through Zeepla® Platform

9.20 Zeepla® is not a donor and will not be involved in any detail of the agreements between the donor and receiver

9.21 Each donor must provide an accurate description and / or photographs of the item or goods on offer. 

Exchangers

9.22  Zeepla® allows Exchangers to registered and interact within the Community Platform for free (no registration fees)

9.23  Each exchanger or Participant in the exchange will pay fee a flat fee of 7% of the agreed value of the item or goods plus any applicable local Tax of the item or goods offered for exchange

9.24  Zeepla® will charge fees plus Tax  where applicable per Participant in the Exchange transactions

9.25  Tax (VAT) will be applied where applicable at the prevailing national or local rate

9.26  Each Participant in the exchange or exchanger will pay for the cost of postage of the respective items from the other exchanger

9.27  Zeepla® relies on the goodwill of the Participants in the Exchanger to provide a true description and / or photographs of the items or goods offered in the exchange transaction

9.28  Zeepla® does not engage in and will not evaluate or reevaluate any item or good offered for exchange

9.29  Accurate presentation, without any misrepresentations, of the items or goods is the total and absolute responsibility of the Participant Exchangers

9.30  Where postage cost is involved to receive any item or goods offered for exchange through Zeepla® Community Platform, each party or receiver in the exchange agreement will pay the postage fee unless otherwise agreed on the Platform

9.31  Participants in an exchange transaction or Exchangers may make alternative delivery arrangement between them such as personal collection

9.32  All such agreement or arrangement must be appropriately documented on Zeepla® Community Platform for traceability and transparency

9.33  All arrangement or agreement concerning an exchange transaction must be done on Zeepla® Platform to be valid and acceptable

9.34  Payment of the postage fee will be through the selected third-party payment facility payment system (PayPal)

9.35  Delivery or shipping of such items or goods remain the responsibility of each party in the exchange or as agreed between the exchangers (receivers)

9.36  Zeepla® is not an exchanger and will not be involved in any detail of the agreements between exchangers

9.37  Each exchanger must provide accurate description of the item or goods on offer

9.38  Exchangers placing items or goods for exchange on the Platform must state clearly the items or goods they want in the exchange.  A clear and comprehensive description, including an image / photograph where possible, are required to help the other interested participants to quickly and fully understand the items needed for the exchange.

10. Zeepla Commission

Private Seller Exchanger Donor

10.1  Zeepla® aims to make transaction fair and affordable for all the Community Participants by prioritising online service and charging low sustainably viable fees

10.2  Zeepla® will charge a 7% Commission based on the value of each Sales Item plus applicable local Tax (VAT)  at the prevailing rate

10.3  Zeepla will charge each Participant in an exchange transaction a flat fee of 7% of the value agreed of the exchanged item or goods  plus applicable Tax  at the prevailing rate. Zeepla relies on the exchange participants to provide an accurate and honest valuation of the items offered for exchange

10.4  The Participants in an exchange transaction are totally relied upon by Zeepla and are trusted to provide the true description and / photographs and value of the items or goods they present for exchange

10.5  Zeepla® will not charge Commission on any donated item or goods

10.6  Commissions will be deducted from the sales price before payment is made to the Seller

10.7  Zeepla® Commission will be calculated inclusive of Tax (VAT) where applicable at the prevailing rate

10.8  Exchange Commission will be paid before the exchange transaction is completed on the Community Platform.

Commercial or Professional Seller Exchanger Donor

10.9  Zeepla® aims to make transaction fair and affordable for all the Community Participants including the professional sellers by prioritising online service and low viable fees

10.10   Zeepla® will charge a 7% Commission based on the value of each Sales item or goods plus Tax (VAT) where applicable at the prevailing rate

10.11  Zeepla® will charge 7% of the value agreed of the exchanged item or goods  plus applicable Tax  at the prevailing rate. Zeepla relies on the exchange participants to provide an accurate and honest valuation of the items offered for exchange

 plus local applicable Taxes. The fees and Tax will be charged per Participant in the exchange transaction

10.12  Zeepla® will not charge Commission on any item or goods donated by commercial or professional organisations

10.13  Commissions will be deducted from the sales price before payment is made to the Seller

10.14  Zeepla® will deduct commissions  inclusive of Tax where applicable

10.15  Exchange Commission will be paid before the exchange transaction is completed on the Community Platform.

11. Your right to use our service and Zeepla® Community Platform

11.1  Zeepla® aims to provide a thriving, Community Social Open Market Technology Platform where Participants (Sellers, Donors, Exchanger and Buyers) meet to transact on preloved, so-called second-hand high-quality items or goods

11.2  Registration  and Participation on the Community Platform is free for all and open to all with the exceptions and conditions for Children

11.3  Participants have the right to use Zeepla®’s  service under the terms and conditions of service as described in this document and elsewhere

11.4 Zeepla® reserve the right to change, withdraw or limit these rights, terms and conditions at any time without prior notice while respecting the rights of all Participants on this Community Platform

11.5 The rights of access to sell, donate,  exchange items or goods are guaranteed provided each Participant meets the registration requirements of Zeepla® as listed under Registration and elsewhere in this document

11.6  Participants have the right to expect the highest possible level of service, which Zeepla® aims to provide at all times

11.7  Fulfilling Zeepla®’s T&C does not in any way directly or indirectly grant any Community Participant any rights to, or in, any intellectual property rights or any other rights or licences in respect of the Participation or listing on the platform

11.8  All intellectual property right rests with Zeepla® and the parent company SAINCHROMA® LTD

12. The Content you upload

Private Seller Exchanger Donor

12.1  Zeepla® is not the Seller, Exchangger or Donor of any item or goods offered on its Platform

12.2  Agreement to sell, buy and/or purchase, Exchange, Donate or Receive  a sale, donated or exchange  item or goods  is made absolutely solely between the buyer and the seller, the Exchangers, and the Donor and Receiver, made and finalised between the Community Participants concerned 

12.3  Participants (Seller, Exchangers and Donors) must clearly disclose all detail and descriptions about the item or goods on offer or involved in the transaction

12.4  Seller and Exchangers  will sell or exchange items or goods with relevant Tax (VAT) where appropriate

12.5  The Platform may offer time-limited operational options such as promotions, discounting of sale items, offered by the seller

12.6  Sellers have, at all times, total discretion to set prices of the item or goods on sale through the Platform

12.7  Zeepla® will not be involved or dictate the price or value  of any item or goods offered for sale or exchange of the Community Platform

12.8  Buyer or other receivers of goods (exchangers, donations, etc.) should direct via the platform any complaints, questions and claims related to a Sale Item or Exchange to the seller or Exchanger for a quick resolution

12.9  Where Participants or users cannot resolve issues relating to a sale or exchange transaction between themselves, Zeepla® will step in to review the situation and advise accordingly with a view to speeding up the resolution of the issue

12.10  Zeepla® will endeavour to use all possible and reasonable options to  mediate or facilitate any such disputes or differences through Zeepla®’s dispute resolution process.

12.11  Participants or users can get more detail about our dispute resolution procedure under these Terms and Conditions of Service

Commercial or Professional Seller Exchanger Donor

12.12  Zeepla is not the Seller  Exchanger or Donor of any item or goods offered on its Platform

12.13   Agreement to sell, buy, purchase, Exchange or Receive a donation  of an Item or goods is made absolutely solely between the seller and buyer, the donor and receiver and the participants in an exchange transaction

12.14  Seller Or Exchanger will sell or Exchange  items or good with tax  where appropriate at the prevailing rate

12.15  Seller, Exchanger and Donor must clearly disclose and describe,  with the aid of a photograph where possible, all detail about the item or goods on offer

12.16  The Platform may offer time-limited operational options or functionalities such promotions, discounting sale items, offered by the Seller

12.17  Sellers and Exchangers have, at all times, the total discretion to set prices of the item or goods sold on the Community Platform

12.18  Zeepla® will not be involved in setting the price or value of item or goods offered for sale or exchange on the Community Platform by any Participants

12.19  Buyer or other receivers of goods (exchangers, donations, etc.) should direct via this platform any complaints, questions and claims related to a sale or an exchange item or good  to the seller or the exchange Participant in the first instance for a quick resolution or response

12.20  Where participants or users cannot resolve issues relating to a sale or exchange item or goods in a transaction between themselves, Zeepla® will review the situation and  mediate or facilitate in such disputes or differences through Zeepla® dispute resolution process aimed at finding a speedy solution.

12.21  Participants or users can get more detail about our dispute resolution procedure under  these Terms and Conditions of Service

Private Buyer, Exchanger

12.22  Zeepla is not the Seller or an Exchanger of any item or goods offered on its Platform

12.23   Agreement to buy and/or purchase or exchange  of a sale or exchange item or goods is made absolutely solely between the buyer and the seller

12.24  Where appropriate or relevant Tax will be payable by the buyer of exchange Participants on all items or good offered on the Platform

12.25  The Platform may offer time-limited operational options or functionalities such promotions, discount sale items, offered by the Seller

12.26  Sellers have, at all times, total discretion to set prices of the item or goods sold through the Platform. Prices offered by sellers is an invitation to treat, not a conclusion of sale and may change at any time

12.27  The buyer or exchanger of any item or goods has total discretion to buy or exchange or not to buy or exchange any item or goods on offer on the Community Platform

12.28  Buyer or Exchanger must read and understand these terms and conditions in its entirety before buying, purchasing or exchanging any item or goods on the Community Platform

12.29  Buyer or other receivers of goods (exchangers, donations, etc.) should direct via this platform any complaints, questions and claims related to a sale or exchange  item or goods to the Participant Seller or Exchange Participant

12.30  Where participants, buyer, exchanger or users cannot resolve issues relating to a Sale Transaction between themselves, Zeepla® will mediate and / or facilitate in resolving such disputes or differences through Zeepla®’s dispute resolution process aimed at finding a satisfactory and speedy solution

Commercial or Professional Buyer Exchanger

12.31  Zeepla® is not the Seller or Exchanger of any item or goods offered on its Platform

12.32   Agreement to buy and/or purchase of a Sale or exchange an Item or goods  is made absolutely solely between the buyer and the seller or between the Exchange Participants

12.33  Where appropriate or relevant VAT will be payable by the buyer or Exchanger on all items or good offered on the Community Platform

12.34  The Platform may offer time-limited operational options or functionalities such promotions, discounting Sale Items, Exchange or donation offered by the Seller or exchange Participants

12.35  Sellers have, at all times, total discretion to set prices of the item or goods on sold through the Platform

12.36  The buyer or exchanger of any item or goods has total discretion to buy or exchange or not to buy or exchange any item or goods on offer

12.37  Buy and exchange Participant must read and understand Zeepla’s terms and conditions in its entirety before buying, purchasing or exchanging any item or goods on the Community Platform

12.38  Buyer or other receivers of goods (exchangers, donations, etc.) should direct any complaints, questions and claims related to a Sale or exchange Item or goods to the Participant Seller of Exchanger

12.39  Exchange  Transaction between themselves, Zeepla will review the situation and advise each Participant, Seller or Buyer accordingly.

12.40  Zeepla will seek to mediate and / or facilitate in resolving any of such disputes or differences through Zeepla’s dispute resolution process.

12.41  Where participants or users cannot resolve issues relating to a Sale or participants or users can get more detail about our dispute resolution procedure under section 18 of these Terms and Conditions of Service

Donor

12.42  Zeepla is not the Donor of any item or goods offered on its Platform

12.43   Agreement to receive any Item is made absolutely solely between the Donor and the Receiver

12.44  Where appropriate or relevant Postage cost will be payable by the receiver  on all items or good offered as donation on the Platform

12.45  The Platform may offer time-limited operational options or functionalities to promote donation of items or goods

12.46  Donors have, at all times, total discretion to set conditions of the item or goods on donated through the Platform such as payment of postage cost by the receiver

12.47 The Receiver of any item or goods has total discretion to receive or reject any item or goods on offer but must inform the Donor not less than 72 hours before postage

12.48  There is no further transactional obligations between the Donor and Receiver once posted item or good have been received at the destination

12.49  Donors and Receivers must read and understand these terms and conditions in its entirety before acceptance of any donated item or goods

12.50  Donor and the Receivers of donated item or goods should direct via this platform  any complaints, questions and claims related to the item to the Participant Donor

12.51  Where participant Donor and Receiver are in dispute and cannot resolve issues relating to the Transaction between themselves, Zeepla® will attempt to help mediate and / or facilitate such disputes or differences through Zeepla®’s dispute resolution process.

Exchanger

12.52  Zeepla® is not an Exchanger as defined above of any item or goods offered on its Platform

12.53  Agreement to exchange any item or goods is made absolutely solely between the Participants on this Platform

12.54  Exchangers must clearly disclose all detail about the item or goods on offer

12.55  Where agreed in advance postage cost may be payable by each participating exchanger

12.56  Each exchange participant must pay the respective commission of 7% of the value of each  item or goods offered for exchange per exchange participant plus any applicable Tax (VAT)

12.57  Zeepla rely on the exchange participants to provide an accurate description and honest valuation of the items offered for exchange

12.58  The Platform may offer time-limited operational options or functionalities to promote the exchange of specific items or goods by the participant Exchanger

12.59  Exchangers have, at all times, total discretion to set conditions and terms of the exchange

12.60  The Exchanger of any item or goods has total discretion to enter into exchange of any item or goods on offer

12.61  Exchange must read and understand these terms and conditions in its entirety before concluding the exchange transaction

12.62  Exchangers or other receivers of goods should direct via this platform any complaints, questions and claims related to a exchange item to the Participant Exchanger

12.63  Where participants or users cannot resolve issues relating to an exchange item or goods between themselves, Zeepla® will attempt to help mediate and / or facilitate such to resolve the disputes or differences through Zeepla’s dispute resolution process.

13. General Code of Conduct for all Platform Participants and users 

13.1  Zeepla® aims to provide a Social Community  Open Market Technology Platform where all registered Participants and users are free and comfortable to communicate in respectful manner

13.2  Zeepla® expects a responsible and respectful use of the Platform by all Participants and users

13.3  Abusive and prejudiced languages against any section of the Platform users, Participants or any section or members of the public are unacceptable and prohibited

13.4  Participants must be mindful of the expressions, description and use of certain type or category of language that disrespects or casts aspersion on other users or the public

13.5  Description of items or goods on offer must be based only on all the truth and facts about the item or goods

13.6  Participating Sellers, Donors and Exchangers must avoid fantasy description of items and goods on offer so that interested others must make an informed consideration of the item or good on offer on the Platform

13.7  Where photographs are used, they must be the true and clear representations of the items and good, photoshopping is not an acceptable presentation

13.8  Buyers, Exchangers and Receivers have the right to expect the exact and complete description of the items and goods and receive the same

13.9  Items or goods that do not match the description or misrepresented may be rejected by the recipient and full refund to the recipient made by the seller or exchanger

13.10  All Participants on Zeepla® Community Platform must respect all the terms and conditions of service that are relevant to the activity /activities they engage in on the community Platform

13.11  Participants must read, understand and confirmed that they have done so at the time of registration by ticking the electronic confirmation box, without which registration and participation on the Community Platform will not be allowed

13.12  Items and goods on offer must be fit for the purpose as described in the offer 

13.13  Items and goods delivered must be in good condition as described in the offer

13.14  Prices and / or other conditions of each item or goods must be clearly indicated on the Community Platform against each item or good

13.16  Buyers and Exchangers will pay full price and VAT where applicable, which must be clearly indicated by the Participant Seller or Exchanger

13.17  Zeepla will make payment to the Participant Seller or Exchanger after deduction of the appropriate Commission and Tax (VAT) where applicable at the prevailing rate (see detail on Commission payable)

13.18  The safe delivery of items or goods to the Buyers, Receiver of donations or Exchange Participant is the full and absolute responsibility of the Participant Seller, Donors and / or Exchanger

13.19  Zeepla® is only responsible for the good functioning of the Platform and ensuring ultimate satisfactory experience of the Community Platform Participants

13.20  The language of communication on the Platform is English for the UK Community and Platform. Other languages will be offered for other countries where applicable

13.21  Participants (Sellers, Donors, Exchangers and Buyers) must comply with and adhere to the laws of United Kingdom, relevant legal jurisdictions and any other regulation, legislation and standards relevant to them

13.22  Zeepla® reserve the right to apply appropriate sanctions according to the code of conduct to any offending Platform user or Participant without notice

14. Offending, notice, applicable sanctions, deleting and taking down accounts and postings

14.1  Participant Sellers, Donors, Exchangers and Buyers / Purchasers and / or Receivers must comply with and adhere to all the provisions of Zeepla®’s T&C as they apply to each individual or private  or Professional or Commercial Participant

14.2   Non-compliance by any Participant (Seller, Donor, Exchanger or Buyer) with any aspect of these T&C of service will constitute an offending behaviour

14.3  Only Zeepla® can and will review and determine, which situation constitutes an offending behaviour or non-compliance

14.4  Zeepla® reserves the right to issue a first notice or warning to the concerned or offending, non-compliant Participant

14.5  Zeepla® may exclude, delete, takedown or suspend the account, participation or membership of a Participant (Seller, Donor, Exchanger or Buyer) whose activities constitute an offending or non-compliance as determined by Zeepla® without reference or consultation with the person, entity or organisation concerned

14.6  In a situation considered by Zeepla® as serious offending behaviour such as a potential criminal, racist or disrespectful posting, Zeepla® reserves the right to delete or takedown such posting as soon as possible without a prior notice to the Platform Community Participant (Seller, Donor, Exchanger or Buyer) concerned whether private or professional

14.7 In certain serious cases, the law enforcement agencies may be contacted in order to protect the Participant or the other Community Platform Participants.

15. Zeepla® Community Platform maintenance and upgrades

15.1  From time to time Zeepla may need to carry either scheduled or unscheduled systems maintenance and / or upgrade in order to improve Community Participants and users experience

15.2  Certain aspects or elements of our services may be disrupted or even stopped during this maintenance period

15.3  Wherever possible Zeepla® will provide participants / users reasonable advance notice as well as progress update where the situation warrants it

15.4  Zeepla®  is determined to minimise any disruption and inconvenience to all users and participants as much as possible

16. Social media and Advertising policy

16.1  Zeepla® may use other social media (Facebook, Instagram, WhatsApp, Twitter, etc.) to further publicise the activities and offers on the Community Platform

16.2  Zeepla® will not use private data of Members or Participants without consent

16.3  Any use will be consented and  limited to the promotion or enhancement of the interest of the Community Participants and promotion, improvement of experience on the platform

16.4  By joining the Community Platform, Participant consent that information provided as agreed, as part of this Terms and Conditions of service and registration process, can be used in part or in full, by Zeepla® for such mutually beneficial social media activities and initiatives

16.5  Zeepla® will not be held responsible for any unauthorised use of Members or Community Platform Participant information without Zeepla®’s or the Participants’ consent by third parties

16.5  Zeepla will not share Community participant’s information with any social media organisation without explicit consent of the Participants

17. Terminating or ending our relationship

Termination by Zeepla®

17.1  Zeepla® reserves the right to terminate the membership of any Participants at any time if these terms and conditions are not observed and respected

17.2  Zeepla® may issue an initial notice to the offending Participant (Seller, Donor, Exchanger, or Receiver) with the option to correct, amend or desist from the offending behaviour

17.3  Membership and Participation will be immediately terminated and account deleted in the case of serious or repeated breach of these terms and conditions as determined by Zeepla®

17.4  Deleted or excluded Participant can rejoin the Community at any time in the future after the termination, which is not due to an offending behaviour

17.5  If termination is due to an offending behaviour, the concerned Participant must seek clearance  from Zeepla® before any type of re-registration is granted

Termination by Participant (Seller, Donor, Buyer or Receiver)

17.6  Participants may terminate the membership or participation on the Community Platform at any time

17.7  Facility will be provided on the Platform for any Member or participant  who wishes to terminate the membership or participation to be able to do so freely

17.8  Participant’s account on the Community Platform will be closed and / or deleted when terminated

17.9  Participant can rejoin the Community at any time in the future after termination, which was voluntary or not due to an offending behaviour

18. Zeepla®’s obligations, responsibilities and liabilities towards the Participants

18.1  Zeepla® aims to provide the best-in-class user and Participant experience

18.2  We are aware of and respect the importance of our community’s private and personal data and will ensure that they are robustly protected

18.3  Ensure respect and dignity for all Community Participants on the Platform

18.4  Ensure Participants only offer items or goods that are fit for the purpose declared

18.5  Sellers and Exchangers receive their share of price of the sale  or Exchange  item or goods with minimum delay

18.6  Donor and receiver interact mutually in honesty and total transparency so that items or goods are transferred in good fate and condition

18.7  Exchangers interact in mutual honesty and transparency so that items or goods are exchanged in good fate and condition

18.8  Zeepla® will not inspect items or goods offered on its Platform but will rely on the Participant to follow online instructions and provide quality items or goods that fit the description on the Platform

19. Community Platform Participants’ obligations, responsibilities and liabilities towards Zeepla® as a Service provider

19.1  Zeepla® aims to provide the best-in-class user and Participant’s experience

19.2  Participants will respect and abide by all aspect of the Term & Conditions of the service that concern each Participant either as a Seller, Donor, Exchanger or Buyer

19.3   Participants will provide all necessary and correct information to enable Zeepla® perform its obligations

19.4  Participants will ensure respect and dignity for all participants on the Platform

19.5  Participants only offer items or goods that are fit for the purpose declared and will provide full description of such item or goods

19.6  Participants will offer only good quality items or goods on the Community Platform

19.7  Participants on Zeepla® Community platform will pay due attention to all declarations and guarantee ownership rights of the items or goods offered on the platform

19.8  Sellers and Exchangers will deliver items and goods to Buyers or other Exchangers of the items or goods as described and with minimum delay

19.9  Donor and receiver will interact mutually in honesty and items or goods are accurately described and  transferred in good fate and good condition

19.10  Exchangers interact mutually in honesty and items or goods are exchanged in good fate and condition

19.11  Donors guarantee ownership of items or goods offered as donation and will provide full description of such items and goods

20. Making changes to our Services

20.1  Zeepla® is committed to continuous improvement of all aspects of its services and always we work to stay ahead of technological development

20.2  Zeepla® may make changes to the Terms and Conditions of service as set out in this document and elsewhere to improve Participants’ ultimate experience

20.3  Participants will be given advance notice of any eminent changes that are under the control of Zeepla®

20.4  Some changes may be driven by regulations,  legislation and other life events totally out of our control, which may not allow time for necessary notifications or only very short notice

20.5  In any circumstance, the interest of Zeepla®’s Community Platform Participants and users will be top of our priorities.

21. Shipping and delivery

21.1  Zeepla®’s community platform is a Participants Fulfilled Social Platform (PFSP)

21.2  Zeepla® is not responsible for the shipping and / or delivery of the item or goods offered in any of the transactions

12.3  The participating seller, donors or exchangers are responsible for the safe and wholesome shipping and delivery of item or goods offered in any of the relevant transactions to the buyers, exchanger and receivers

21.4  The items or goods must be received in reasonably good conditions and must fit description provided on the Zeepla®’s Community Platform

21.5  To facilitate the delivery process, Shipping and delivery will be by third party delivery partners with trackable postal service (Royal Mail, DHL, Evri, UPS, DPD, etc.)

21.6  Participants (Seller, Exchanger, Donor)  must read, understand,  follow and observe the terms and conditions the delivery partners selected to fulfil the specific transaction each time

21.7  Where Zeepla® has negotiated special favourable shipping and delivery terms and conditions, such terms and gains will be passed on to the Community Participants in full

21.8  Shipping and delivery problems or complaints such as none or later delivery will be sorted out directly between the third-party delivery partner and the Participants (Sellers, Donors, Exchangers).  Zeepla® will intervene if there is no resolution of the complaint.

21.9  Zeepla® is not responsible for the applicable local laws, customs requirements and taxes related to storage, transport, shipping and delivery of any item or goods

21.10  All Participants (Sellers, Exchangers, Donors) must ensure that the items or goods they offer meet all local regulations, legislation and standards before placing the on the website

21.11  All applicable payments including any shipping or delivery cost for the items or goods must be settled in the advance of shipping by the relevant Participants (Seller, Exchanger, Buyer, Donor or Receiver as the case maybe)    

22. Return and refund policy and conditions

Private Participants (Sellers)

22.1  Zeepla® is not a Seller and is not directly responsible for the refund of any item or goods bought through Zeepla® Community Platform

22.2 Private Participant or Seller will refund  items or goods purchase through Community Platform if such items or goods do not meet or fit the description provided by the Seller

22.3  All refund or return request must be notified through Zeepla® Community Platform within 48 hours of receipt of the item or goods  by the buyer and the returned  items must be received in resaleable state by the Seller within 28 days of delivery by the Seller’s delivery agent

22.4  Where a refund is applicable,  the refund must be made by the Participant Seller as soon as possible but not more than seven days of receipt of the returned item or within the 28 days of the delivery to the buyer 

22.5  Buyers may also re-offer or relist the item or goods on Zeepla® Community Platform for resale at any price other than it was originally  purchased.

22.6  Zeepla®  will not be responsible for any loss or gain made from the re-offered  item or goods

22.7  Zeepla® Commission will only apply if a purchased item is re-offered at a higher price from the original purchase price

22.8 Items or goods re-sold at the same price will be commission free

22.9  Reseller must ensure the resold item or good is presented on the Zeepla® Community Platform with full description and detail and is delivered to a new Buyer in very good condition

Commercial or Professional participant (Seller)

22.12  Zeepla® is not a Seller and is not responsible for the refund of any item or goods bought / purchased through Zeepla® Community Platform

22.13  Commercial or Professional Participant or Seller shall make full refund of items or goods sold through Zeepla® Community Platform less cost of post if Seller paid for the postage

22.14  The postage fee will be lost anytime a refund is made

22.15  Buyers must return the items or goods to the Seller in good and resalable condition

22.16  The package of the item or goods must be in resalable condition

22.17  Items or goods returned to the Seller in non-resalable condition may not be refunded

22.18  It is the responsibility of the Seller to determine the condition of the item and whether or not it qualified for a refund

22.19  All demand for refund must be made to the Seller via the Community Platform not more than twenty-eight (28 days) from the date of delivery as evidence on the purchase or invoice as the case may be 

22.20  Buyers can also re-offer or relist the item or goods on Zeepla website for resale without any charge provided the item is re-offered at the original price

22.21  Such items must be marked as repost and may be offered at the same purchase price or any price the original Buyer wishes to offer it at

22.22  Zeepla® fees and Commissions will be applied to re-offered items if the buyer placed it at a price  higher than the price it was purchased from the first seller  on Zeepla® Community Platform

22.23  Zeepla® will not be responsible for any loss or gain made from the item

22.24  Zeepla® will only apply the commission plus applicable tax  if a purchased item is offered at a higher price from the original purchase price

22.25  Items or goods re-sold at the same price will not be charged

22.26 Reseller must ensure the resold item or goods is presented on the Zeepla® Community Platform with full description and delivered to a new Buyer in very good condition

Donated and Exchanged item and goods

22.27  Zeepla® does not donate or exchange items

22.28  Transactions for donations, donated or exchanged items or goods are between the Community Participant donors or Exchangers and the Receivers

22.29  No return or refund will be made for donated or exchanged items or goods unless the description does not fit the item or goods delivered. Zeepla®  urges receivers or exchangers to read the descriptions properly before completing or agreeing the transaction. 

23. Changes to our Terms and Conditions of Services

23.1  Zeepla® relies on state-of-the-art technology to drive the Community Platform and provide best-in-class services to Community Participants and users

23.2   Regulatory changes may require us to make changes to our operating systems, processes, procedures and policies

23.3  These changes may impact services or the level of services we aim to provide

23.4  Zeepla® shall endeavour to minimise any disruption, inconvenience or delays that Community Participants may experience while we make the necessary changes

23.5  Zeepla® will provide, whenever possible, reasonable notice according to the circumstance before any change is made and / or implemented

23.6  It may not always be possible to provide notice to Participants. In such a situation, Zeepla® reserves the right to get on with carrying out the required activity without notice. Such decision will be made on a case by case basis

24. Applicable law and jurisdiction

24.1  Zeepla® is a registered brand in England and Wales and all our transaction are governed by the English law

24.2  Any dispute or transactional disagreement will be resolved under the laws of England and Wales

24.3  Any agreement entered into by Zeepla® with a single or multiple entities, providers or Community platform participants  is not transferable to a third party without the written consent of Zeepla®

24.4  Zeepla® may assign any of its rights and obligations including intellectual property rights under these Terms and Conditions of Service and any assigned must be in writing

24.5  Part of or all of these Terms and Conditions of Service do not create an agency, partnership, employment or joint venture relationship between Zeepla and any of the Participants, Private or Commercial  or Professional, any third party  and cannot be construed as doing so

24.6   Zeepla® shall not be held liable for any delay in performing or failure to perform any of its obligations caused by any force majeure event

24.7  In the event of a force majeure, including and not limited to wars, earthquakes, flooding, other weather events, etc. Zeepla® will be granted a reasonable extension of time for the performance of its obligations, the reasonableness of that extension is to be assessed in the context of these Terms and Conditions of Service as well as the other commitments, obligations and responsibilities of Zeepla® in the prevailing circumstance.

25. How do we resolve disputes?

Dispute with Zeepla

25.1  Zeepla® aims to  avoid any dispute situation by providing adequate information upfront and encouraging  mutual discussion between parties and Community Platform Participants

25.2  Zeepla® commits to act as fair mediator between Sellers and Buyers, Exchangers and, in exceptional cases, Donors and Receiver, where a dispute has not be resolved satisfactorily between them

25.3  All Community / Platform participants and users are encouraged to seek clarification or updates on any aspects of the relationships or transaction with Zeepla®  before conclusion

25.4  Where dispute arises, we will seek to resolve it as quickly as possible initially through direct communication between parties and Community Platform Participants

25.5  Communication with Parties in the dispute will be mostly be online, paperless through the Zeepla® Community Platform communication tools

25.6  If not resolved, we will go through our full dispute resolution procedure.

Dispute between Community Participants (Seller, Donor, Exchanger or Receiver)

25.7  Zeepla® encourages Community Platform Participants to resolve dispute amicably and fairly as quickly as possible through direct communication using the Zeepla® Platform communication tools

25.8  Where this is not possible, Zeepla® will facilitate resolution through its Dispute resolution procedure

25.9  Aggrieved or dissatisfied Participant must register the matter with the necessary detail and supporting evidence or documents that will enable Zeepla® conduct a full review and reach a decision on the matter

25.10  Zeepla®’s  ultimate goal is to foster a thriving, convivial social community looking after the wellbeing of Community Platform Participants in an economically, socially and environmentally sustainable manner.

26. How to contact us

26.1  Community Platform Participants (Sellers, Donors, Exchangers or Receivers) and the public can contact Zeepla®  through our dedicated Helpdesk:  admin at Zeepla.com or by completing the online contact form

26.2  Zeepla® will always endeavour to provide a response or feedback to enquiry or any contact within 48 hours of receipt

26.3  Zeepla® aims to maintain a very high environmentally sustainable standard and will work to remain an online only social economic community

26.4  Zeepla®  will always prioritise online or web-based communication using electronic, paperless facilities such as Chat, email, text, etc. wherever available and possible to reduce our overall carbon footprint of each transaction and operation.

Zeepla® reserves the right to change or amend any part of this T&C without prior notice to any Zeepla® registered member or participants
